League Administrator Agreement

This League Administrator Agreement (“Agreement”) is entered into between Bar Poker Technologies, Inc. (“Company,” “we,” “us”) and you (“Administrator,” “you”) upon your registration as a league administrator on the Bar Poker Manager platform. This Agreement supplements the Platform Terms of Service and Privacy Policy.
By creating a league and subscribing to the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. League Operation Responsibilities
As a league administrator, you represent and warrant that:
- You are at least 18 years of age and have the legal authority to enter into this Agreement.
- Your poker league operates exclusively as a free-to-play, social poker league. The Service is not intended for and shall not be used to facilitate real-money gambling, illegal gaming, or any activity that violates applicable law.
- You are solely responsible for determining and complying with all local, state, and federal laws and regulations applicable to operating a poker league in your jurisdiction, including obtaining any required permits or licenses.
- You are responsible for the conduct of all tournament directors, staff, and members operating under your league.
2. Venue Relationships
You acknowledge and agree that:
- You are solely responsible for establishing and maintaining relationships with venues that host your league events.
- Bar Poker Technologies, Inc. has no relationship with, obligation to, or liability for any venue where your league operates.
- You are responsible for ensuring that venues consent to being listed on your league website and that you have the right to display venue information through the Service.
- You will maintain any required insurance or liability coverage for league events held at third-party venues.
3. Player Data and Privacy
You acknowledge and agree that:
- You are a data controller for the personal information of players in your league and are responsible for complying with applicable data protection laws.
- You will only collect and use player information that is necessary for league operations.
- You will not sell, share, or distribute player personal information to third parties without their consent, except as required for league operations.
- You will promptly respond to player requests regarding their personal data, including requests for access, correction, or deletion.
- Player data entered into the Service, including names, statistics, and contact information, may be displayed on public-facing league websites as part of the Service’s functionality.
4. Content Responsibility
You are solely responsible for all content published on your league website through the Service, including but not limited to:
- News posts, blog entries, and announcements.
- League rules, schedules, and event descriptions.
- Images, logos, and media uploaded to the platform.
- Custom participant terms or league-specific agreements.
You represent that all content you publish does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party, and does not contain unlawful, defamatory, or objectionable material.
5. Subscription and Financial Terms
- You agree to pay all subscription fees in accordance with the pricing plan you selected and the payment terms in the Platform Terms of Service.
- All fees are non-refundable as outlined in the Platform Terms of Service.
- If your subscription lapses, your league website may be deactivated and your data may be retained for a period of 90 days, after which it may be permanently deleted.
- You are responsible for collecting any entry fees, dues, or payments from your players independently. The Service does not process player-to-league payments unless explicitly offered through a platform feature such as VIP memberships.
6. Indemnification
You agree to indemnify, defend, and hold harmless Bar Poker Technologies, Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:
- Your operation of a poker league, including any events, tournaments, or gatherings.
- Any injury, loss, or damage occurring at a venue during a league event.
- Your violation of any applicable law, regulation, or ordinance.
- Any dispute between you and your players, venues, sponsors, or other third parties.
- Content you publish through the Service.
- Your failure to comply with this Agreement or the Platform Terms of Service.
7. Limitation of Liability
BAR POKER TECHNOLOGIES, INC. IS NOT RESPONSIBLE FOR AND SHALL NOT BE LIABLE FOR ANY INJURIES, DAMAGES, LOSSES, OR CLAIMS ARISING FROM THE OPERATION OF YOUR POKER LEAGUE, INCLUDING BUT NOT LIMITED TO INCIDENTS AT VENUES, DISPUTES BETWEEN PLAYERS, LOSS OF LEAGUE DATA DUE TO ADMINISTRATOR ERROR, OR ANY CONSEQUENCES OF YOUR FAILURE TO COMPLY WITH APPLICABLE LAWS.
8. Termination
We may terminate this Agreement and your access to administrator features if you violate this Agreement, the Platform Terms of Service, or for any other reason at our sole discretion. Upon termination, your league website will be deactivated. You may export your data prior to termination through available export features in the Service.
9. Insurance Disclaimer
The Service does not include any insurance coverage for league events, venues, players, or administrators. You are strongly encouraged to obtain appropriate liability insurance for your league operations. Bar Poker Technologies, Inc. makes no representations regarding insurance requirements in your jurisdiction.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia. Any disputes shall be resolved exclusively in the state or federal courts located in the State of Georgia.
